Job Description:

This Legal Analyst position is based in Houston, TX and is part of the Downstream, Chemicals and Midstream Law Function. The successful candidate will primarily provide commercial, business, and transactional legal support for Chevron New Energies (CNE) and Chevron Technology Ventures (CTV) and for energy transition related matters for Corporate Strategy and Sustainability (CSS) and Downstream Strategy Planning & New Energies (DSPNE). The successful candidate will also partner with other business clients and law colleagues across the enterprise to support renewables, alternative fuels, Hydrogen, CCUS, Offsets & Emerging, and other energy transition related work.

Job Responsibilities:

  • Analyze and summarize documents for review by business partners and attorneys
  • Work with outside counsel on significant transactions, policy, regulatory matters, and on dispute resolution (including pre-litigation strategy and planning and coordination with internal litigation management team as needed)
  • Support the execution of strategic transactions, including deal strategy, due diligence, structuring, drafting and negotiating of transaction documents, supporting negotiations, closings and integration for a spectrum of M&A, strategic alliance, commercial and joint venture transactions
  • Train and help clients establish systematic ways of addressing legal and compliance matters
  • Engage and provide recommendations (risk analysis) to business partners and attorneys on counterparty’s changes to legal terms in agreements
  • Share lower carbon transactional, policy, and regulatory knowledge with other attorneys and law professionals
  • Multi-task and prioritize work assignments to consistently provide high-quality work product in a fast-paced work environment
  • Partner with various subject matter experts and enterprise law groups (e.g., tax, finance, intellectual property, environmental and safety, international project management, business units) to ensure best practice and knowledge sharing, policy alignment, and full, efficient coverage.
  • Perform legal due diligence and legal research
  • Provide legal support, risk mitigation, and advice for a variety of Chevron’s lower carbon businesses, technology ventures, and strategy development, including products and marketing; contracts; energy transition and sustainability policy; environmental, social, and governance; compliance; regulatory, advocacy; and operations
  • Establish value adding processes and playbooks, and drive efficiencies in legal and governance support in support of Chevron’s lower carbon businesses and ventures
  • Prepare and negotiate a variety of commercial agreements all based on consultation with business partners and review by attorneys

Job Requirements:

  • Ability to maintain high quality performance with varied deadlines and competing priorities in a fast-paced work environment
  • Self-starter who shows initiative, creativity, and thrives in a team-oriented environment and partners effectively with management, business partners, in-house counsel, outside counsel, and staff
  • Strong organizational, analytical, proofreading, editing, and research skills
  • Minimum of five years’ experience as a paralegal negotiating and drafting commercial agreements
  • Proficiency in the Microsoft Office suite of tools
  • Bachelor’s degree
  • Paralegal certificate from an ABA-approved program or a law degree from an ABA-accredited school
  • Ability to effectively analyze and communicate legal issues across broad functional and organizational lines
  • Strong communication skills (both oral and written) and interpersonal skills
  • Mergers & Acquisitions experience
